TLP Active – Master Terms and Conditions

TLP ACTIVE – MASTER TERMS AND CONDITIONS

Company: TLP Active, LLC (“Agency”, “We”, “Us”)

Client: Any entity executing a Master Service Agreement (MSA) or paying the initial Social Onboarding Fee (“You”, “Your”)

By signing the Master Service Agreement (MSA) or paying the applicable fees, the Client agrees to be bound by these Terms and Conditions for our managed social engagement and high-volume outreach services.

1. SERVICES AND DELIVERABLES

The specific deliverables are determined by the package selected:

The Industry Authority (Pro Voice) ($1,295/month):
Deliverables: 24 Asset Media Strategy, 1 short-form video per week, 1 post per business day, 5 Active Captures per day, and an Integrated Content Strategy.
Management & Strategy: Weekly Content Performance Audit, Monthly Analytics Report, and a Monthly Quick Check meeting.
The Revenue Engine (Owned Pipeline) ($1,895/month):
Deliverables: Up to 5,000 Verified Prospects per month, Dedicated Sending Infrastructure, Multi-Source Lead Extraction, Infrastructure Health Monitoring & Maintenance, and a Social Search Presence Audit.
Management & Strategy: Weekly Pipeline Performance Audit, Monthly Analytics Report, and a Monthly Quick Check meeting.

1.1 Scope Creep: Services exclude graphic design outside of social posts, website management, and direct message (DM) management. The Revenue Engine package does not include social media content creation.

1.2 Out-of-Scope (T&M): Any Client requests for deliverables exceeding the selected package’s monthly allotment will be billed at the Agency’s standard Time & Materials (T&M) rate of $180.00 per hour, or via a pre-approved flat-rate Custom Quote.

2. PLATFORM ACCESS & INTEGRATIONS

2.1 Third-Party Management: For “The Industry Authority” package, Agency utilizes third-party social media management software to publish content. We do not require, nor will we store, your direct login credentials.

2.2 API Integrations: Client must authorize API connections for supported social platforms (e.g., Instagram, X, Facebook, LinkedIn). Platforms requiring manual native logins are strictly out of scope.

2.3 Outreach Infrastructure: For “The Revenue Engine” package, Agency utilizes third-party outreach and infrastructure management platforms. Client agrees to provide necessary DNS access if using existing subdomains.

3. CLIENT RESPONSIBILITIES & DELAYS

3.1 Provision of Materials: For “The Industry Authority,” raw video footage and brand assets must be submitted by the 8th of the month preceding the target month. For “The Revenue Engine,” Client must approve prospect profiles and messaging sequences within five (5) business days of submission.

3.2 Continuity Safeguard: If deadlines are missed, TLP Active will automatically deploy “Evergreen” content (AI-generated or B-roll) or continue existing outreach sequences to fulfill the cycle. No refunds, discounts, or rollovers will be provided.

4. ENGAGEMENT & COMMUNITY MANAGEMENT

4.1 Active Captures: For “The Industry Authority,” this includes up to 5 strategic outbound interactions per day during business hours. We will not engage with trolls, spam, or obvious bots.

4.2 Customer Service: Agency is a marketing partner, not a customer support team. Support inquiries received on social platforms will be routed via a standard response to Client’s preferred channel.

4.3 Exclusions: Direct message (DM) management and Stories engagement are strictly excluded. Agency does not manage email replies for The Revenue Engine package; these are routed directly to the Client’s master inbox.

5. ANALYTICS AND REPORTING

Both “The Industry Authority” and “The Revenue Engine” packages include a Monthly Analytics Report and a Monthly Quick Check meeting delivered via video call.

6. BILLING AND PAYMENTS

6.1 Social Onboarding Fee: A one-time setup fee of $995.00 is due upon signing for “The Industry Authority” package. This covers the Opposition Audit, strategy development, and initial account configuration. This fee may be waived if the Client elects a 12-Month Commitment Term. There is no onboarding fee for The Revenue Engine package.

6.2 Retainer: Due no later than the 5th of each month.

6.3 Failed Payments: In the event of a failed payment, Agency reserves the right to suspend all services immediately until the account is brought current.

7. REVISIONS AND APPROVALS

7.1 Review Period: Drafted content or outreach scripts will be submitted for review by the final Monday of the preceding month.

7.2 Revisions: One (1) round of consolidated revisions is permitted per monthly batch of assets or scripts.

7.3 Auto-Approval: If no revisions are requested within five (5) business days, all materials are deemed approved and will be scheduled.

8. THIRD-PARTY PLATFORMS & LIABILITY

8.1 Platform Changes: Agency is not liable for algorithm changes, decreases in reach, account shadowbans, or suspensions enacted by third-party social media or email platforms.

8.2 Metric Disclaimer: No guarantees are made for virality, direct leads, or specific ROI. Agency follows deliverability best practices but is not responsible for email provider blacklisting or spam filtering.

8.3 API Outages: Agency is not responsible for missed posts or outreach delays caused by third-party platform API failures or server outages.

9. TERM AND CANCELLATION

9.1 Term: Services are offered on a Month-to-Month OR 12-Month Commitment basis.

9.2 Month-to-Month Cancellation: 30-day written notice to info@tlpactive.com is required. The full monthly retainer fee applies during this final 30-day period.

9.3 12-Month Commitment Clawback: If the Client on a 12-Month Commitment terminates prior to completion, the waived Social Onboarding Fee ($995.00) will be immediately reinstated and billed as an early termination penalty.

10. INTELLECTUAL PROPERTY

10.1 Client Ownership: Upon full payment of the monthly retainer, Client owns the final published digital assets and custom outreach scripts created during that service month.

10.2 Agency Ownership: Agency retains ownership of all proprietary processes, strategies (including the Opposition Audit), templates, and internal workflows.

11. TERMINATION BY AGENCY

TLP Active reserves the right to terminate this agreement immediately for abusive behavior, consistent breaches of these terms, or payment defaults.

12. GOVERNING LAW & LIABILITY LIMITS

12.1 Law: This agreement is governed by the laws of the State of Illinois.

12.2 Limit: Total liability shall not exceed the amount paid by the Client to TLP Active in the three (3) months immediately preceding any claim.

13. DEFINITIONS

Active Capture: A strategic, outbound engagement (e.g., comment, like) on a third-party social media post intended to capture audience attention.

Owned Pipeline: High-volume outbound system using dedicated secondary domains to deliver text-based messaging to unique prospects.

Prospect: A unique contact matching the Client’s Ideal Customer Profile (ICP), verified via third-party lead enrichment services.

Opposition Audit: Proprietary analysis of competitors to identify market gaps and inform strategy, conducted as part of the Social Onboarding process.
